These Club Terms of Service ("Terms") are a binding agreement between Blue Sargo Ventures, LLC, a Massachusetts limited liability company ("PicklPass", "we", "us"), and the club, facility, operator, or other organization that creates an account, activates a subscription, or otherwise uses PicklPass in a business capacity ("Customer", "you"). If you are an individual player using PicklPass through a club, the Player Terms of Serviceapply to you instead.

1. The Service

PicklPass is a web application for pickleball club management, including DUPR rating screening, league management (ladder, round robin, pod, MLP, trios, mini-tournament), open play sessions, player invitations, and related tools. "Crew" and other features marked beta are described in Section 9.

2. Accounts and Authority

You must provide accurate information and safeguard credentials. You are responsible for all activity under your account, including sub-users, admins, and staff you invite. By accepting these Terms you represent you have authority to bind the organization on whose behalf you are contracting.

3. Customer Data; Player Roster

As between the parties, Customer owns Customer Data, including its player roster and match records. Customer grants PicklPass a non-exclusive, worldwide license to host, copy, transmit, display, and otherwise process Customer Data solely to provide, secure, and improve the Service.

For personal data about players, Customer is the controller and PicklPass is the processor. The Data Processing Addendum is incorporated into these Terms by reference and governs that processing. Customer represents it has all rights, consents, and lawful bases needed to upload and share player information with PicklPass, including for any minors on its roster.

4. DUPR and Third-Party Services

DUPR is a trademark of DUPR, Inc. PicklPass is an official DUPR integration partner. Your agreement is with PicklPass, not with DUPR, and DUPR is not responsible for PicklPass products or services. PicklPass retrieves and displays DUPR ratings and reliability values as a convenience, and your use of DUPR data is also subject to DUPR's own terms. PicklPass relies on subprocessors (including Supabase, Vercel, Stripe, Resend, and others) as listed in the Service Providers section of the Privacy Policy.

5. Fees, Auto-Renewal, and Taxes

Subscriptions renew automatically at the then-current rate for successive terms unless canceled before the renewal date. We will provide at least thirty (30) days' notice of any price increase before it takes effect at your next renewal. All fees are in U.S. dollars, are non-refundable except where required by law, and are exclusive of taxes. Invoiced amounts are due within thirty (30) days unless otherwise stated on the invoice.

6. Free Trial

Eligible new customers may activate a card-free trial (currently 14 days for standard clubs, one trial per Crew operator). Trials convert to paid subscriptions only when you initiate checkout. We may modify or discontinue trial terms at any time.

7. Acceptable Use

You will not, and will not permit others to:

use the Service in violation of applicable law or third-party rights;
upload malicious code, scrape the Service, or interfere with its operation;
attempt to gain unauthorized access to accounts or infrastructure;
use the Service to send unsolicited communications or harass players; or
resell, sublicense, or provide the Service to third parties except as a standard part of running your club.

8. Feedback and Publicity

If you send us suggestions, we may use them without restriction or compensation. We may identify Customer by name and logo as a customer of PicklPass on our website and in sales materials until Customer opts out in writing to legal@picklpass.com.

9. Beta Features

Features labeled beta, preview, Crew, or similar are provided AS IS, may be changed, limited, or withdrawn at any time, and may have separate terms presented at activation. Beta features are excluded from any service-level or uptime expectations.

10. Intellectual Property

PicklPass and its licensors own all right, title, and interest in and to the Service, including software, templates, and trademarks. Except for the limited right to use the Service under these Terms, no rights are granted to Customer.

11. Confidentiality

Each party will protect the other's non-public business information disclosed under these Terms with the same care it uses for its own confidential information (and not less than a reasonable standard of care), and use it only to perform under these Terms.

12. Warranty Disclaimer

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". PICKLPASS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PICKLPASS DOES NOT WARRANT THAT DUPR OR OTHER THIRD-PARTY DATA WILL BE ACCURATE OR CONTINUOUSLY AVAILABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO PICKLPASS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO A PARTY'S BREACH OF CONFIDENTIALITY, INDEMNITY OBLIGATIONS, OR AMOUNTS PAYABLE TO THIRD PARTIES UNDER SECTION 14, OR TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Indemnification

By Customer. Customer will defend and indemnify PicklPass against third-party claims arising out of (a) Customer Data, including the upload of player information without required rights or consents; (b) Customer's violation of law or these Terms; or (c) Customer's use of DUPR or other third-party services in violation of their terms.

By PicklPass. PicklPass will defend and indemnify Customer against third-party claims that the Service, as provided by PicklPass and used within these Terms, infringes a U.S. intellectual property right, subject to standard remedies (modify, replace, or terminate and refund unused prepaid fees).

15. Suspension and Termination

Either party may terminate for material breach not cured within thirty (30) days of written notice. PicklPass may suspend the Service for nonpayment, security risk, or legal risk. Upon termination, you may export Customer Data for thirty (30) days, after which we may delete it consistent with our retention policy.

16. Force Majeure

Neither party is liable for delays or failures due to events beyond its reasonable control, including internet or infrastructure failures, cyberattacks, labor actions, or government action.

17. Governing Law; Venue; Jury Trial Waiver

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. The exclusive venue for any dispute is the state or federal courts located in Suffolk County, Massachusetts, and each party consents to personal jurisdiction there. Each party waives any right to a jury trial in any action arising out of these Terms. The Club Terms do not include mandatory arbitration; consumer arbitration terms apply only to individual players under the Player Terms.

18. Miscellaneous

Notices to PicklPass must be sent to legal@picklpass.com. Assignment: neither party may assign these Terms without consent, except to an affiliate or in connection with a merger or sale of substantially all assets. Entire agreement: these Terms, the DPA, and any order form or invoice constitute the entire agreement. Severability and no waiver apply in the customary manner. Modifications will be posted here with a new effective date; material changes will be emailed to the account administrator at least thirty (30) days in advance.
